Terms of Service

1. Acceptance of Terms

By accessing or using ProKR (“the Service”), available at prokr.io and operated by Jordan Higgs Creative LLC (“we,” “us,” or “our”), you agree to be bound by these Terms of Service. If you do not agree to these terms, please do not use the Service. We may update these terms from time to time, and your continued use of ProKR after any changes constitutes acceptance of the revised terms.

2. Description of Service

ProKR is a software-as-a-service (SaaS) platform that provides OKR tracking, project management, CRM, and grant management tools. The Service is designed to help individuals, teams, and organizations set goals, manage projects, track relationships, and oversee grant workflows. Features and functionality may change over time as we continue to develop and improve ProKR.

3. Account Registration & Security

To use ProKR, you must create an account using a valid email address or third-party authentication provider (such as Google OAuth). You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You agree to notify us immediately of any unauthorized use of your account. We reserve the right to suspend or terminate accounts that we reasonably believe have been compromised or are being used in violation of these terms.

4. Account Access for Support

Our support team may access your account for troubleshooting and support purposes. You will be notified via email when this occurs. Support access sessions are limited to 30 minutes and are fully logged for security. If you believe your account was accessed without a valid support reason, please contact us immediately at support@prokr.io.

5. Acceptable Use Policy

You agree to use ProKR only for lawful purposes and in accordance with these Terms. You may not use the Service to store, transmit, or distribute any content that is illegal, harmful, threatening, abusive, defamatory, or otherwise objectionable. You may not attempt to gain unauthorized access to the Service, other user accounts, or any systems or networks connected to ProKR. You may not use automated scripts, bots, or other means to scrape, overload, or interfere with the operation of the Service. We reserve the right to remove content or suspend accounts that violate this policy.

6. Intellectual Property

The ProKR platform, including its design, code, branding, graphics, mascots, and documentation, is the intellectual property of Jordan Higgs Creative LLC. These Terms do not grant you any right, title, or interest in the Service beyond the limited right to use it in accordance with these Terms. You may not copy, modify, distribute, sell, or lease any part of the Service or its underlying technology without our prior written consent.

7. User Content & Data Ownership

You retain full ownership of all data and content you create, upload, or store within ProKR. We do not claim any ownership rights over your content. By using the Service, you grant us a limited license to host, store, and display your content solely for the purpose of operating and providing the Service to you. You may export or delete your data at any time. If you delete your account, your data will be permanently removed in accordance with our Privacy Policy.

8. Payment & Billing

ProKR offers a free tier that provides access to the core features of the platform. We may introduce paid plans or premium features in the future. If paid plans are offered, pricing and billing terms will be clearly communicated before you are charged. Voluntary contributions through our tip jar are non-refundable and are not required to use the Service. We reserve the right to change pricing with reasonable advance notice to affected users.

9. Service Availability & Uptime

We strive to keep ProKR available and reliable, but we do not guarantee any specific level of uptime or availability. The Service is provided on a best-effort basis. We may experience downtime for maintenance, updates, or unforeseen technical issues. We are not liable for any loss or damage resulting from service interruptions or unavailability. We do not offer a formal service-level agreement (SLA) at this time.

10. Limitation of Liability

To the fullest extent permitted by applicable law, Jordan Higgs Creative LLC and its officers, employees, and affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, use, or goodwill, arising out of or related to your use of or inability to use the Service. Our total liability for any claim arising from these Terms or the Service shall not exceed the amount you have paid us in the twelve months preceding the claim, or fifty dollars ($50), whichever is greater.

11. Indemnification

You agree to indemnify, defend, and hold harmless Jordan Higgs Creative LLC and its officers, employees, and affiliates from and against any claims, liabilities, damages, losses, costs, or expenses (including reasonable attorneys' fees) arising out of or related to your use of the Service, your violation of these Terms, or your violation of any rights of a third party.

12. Termination

You may stop using ProKR and delete your account at any time. We may suspend or terminate your access to the Service at our discretion if we believe you have violated these Terms or if continued access poses a risk to the Service or other users. Upon termination, your right to use the Service ceases immediately. Provisions of these Terms that by their nature should survive termination (including intellectual property, limitation of liability, and indemnification) shall remain in effect.

13. Changes to Terms

We may update these Terms of Service from time to time. Any changes will be posted on this page with an updated effective date. For material changes, we will make reasonable efforts to notify you via email or through a notice within the Service. Your continued use of ProKR after any changes constitutes acceptance of the updated Terms. We encourage you to review these Terms periodically.

14. Governing Law

These Terms of Service shall be governed by and construed in accordance with applicable laws, without regard to conflict of law principles. Any disputes arising from or relating to these Terms or your use of ProKR shall be resolved in accordance with applicable law.
